Understand the terms that define fair use, transparency, and collaboration for all our services.
1. Scope of Services
Northbridge Cost Advisory, a division of Be Sharp UG (haftungsbeschränkt), provides independent cost-reduction advisory services focused on identifying operational and procurement savings opportunities.
Services may include spend review, benchmarking, vendor analysis, negotiation support, and related advisory activities.
No specific savings outcome is guaranteed.
2. Performance-Based Compensation
Northbridge Cost Advisory operates on a performance-based model.
Fees are payable only from verified, realized cost savings achieved through implemented recommendations.
Savings are typically calculated based on the difference between baseline costs and newly contracted or negotiated costs for equivalent service levels.
Fees are calculated as a percentage of verified, realized savings. The applicable fee schedule is provided in the engagement letter issued prior to commencement of work. Rates are tiered in favour of the client as total savings increase.
Fees apply only to realized savings.
No upfront fees are charged unless explicitly agreed in writing.
3. Confidentiality
All information shared by prospective or existing clients, including data submitted through intake forms, email, or discussions, will be treated as confidential.
Northbridge Cost Advisory agrees not to disclose or use such information for any purpose other than evaluating and delivering cost-reduction opportunities.
This confidentiality obligation applies automatically upon submission of information and does not require a separate non-disclosure agreement unless requested.
4. Client Responsibilities
Clients remain responsible for:
Providing accurate information
Approving implementation decisions
Executing operational changes
Maintaining vendor relationships
Northbridge provides advisory support but does not assume operational control.
5. Savings Verification
Savings are deemed realized when a client approves or authorizes a recommendation that results in reduced costs, including but not limited to:
• execution of a new agreement or pricing structure
• written approval to proceed with a vendor change or renegotiation
• acceptance of revised commercial terms
• issuance of a purchase order reflecting reduced pricing
• implementation of negotiated rates
• continued use of existing vendors under improved pricing
Savings shall not be dependent on full operational rollout or volume transition, provided the client has approved the revised commercial terms.
Where savings occur over time, fees may be calculated based on the annualized value of approved cost reductions.
Delays in implementation, internal approvals, or vendor transition controlled by the client shall not affect the determination of realized savings.
Northbridge Cost Advisory may document baseline costs and revised costs to support calculation transparency.
6. Limitation of Liability
Northbridge Cost Advisory provides advisory services only.
To the maximum extent permitted by law, liability is limited to cases of intentional misconduct or gross negligence.
Northbridge shall not be liable for:
operational decisions made by clients
vendor performance issues
indirect or consequential damages
unrealized savings
7. No Procurement Representation
Northbridge acts as an independent advisor and does not represent clients as a procurement agent unless separately agreed.
Clients retain full authority over procurement decisions.
8. No Guarantee of Savings
While typical engagements identify measurable opportunities, savings outcomes depend on client decisions and vendor conditions.
No guarantee of specific savings amounts is provided.
9. Intellectual Property
All methodologies, templates, and analytical approaches remain the intellectual property of Northbridge Cost Advisory unless otherwise agreed.
10. Governing Law
These Terms & Conditions are governed by the laws of the Federal Republic of Germany.
